Job summary

Larson Maddox is seeking a Corporate Counsel to join its legal team in a hybrid role in Winchester, KY. The attorney will support commercial transactions, project development, governance matters, regulatory issues, and risk management across utilities and energy sectors.

The role requires at least 5 years of contract and transactional experience, JD, and Kentucky bar eligibility. Collaboration with executive leadership and outside counsel is essential.

Qualifications

• Juris Doctor (JD) from an accredited law school.
• Licensed attorney in good standing.
• Minimum of 5 years of contract and transactional legal experience.
• Experience drafting, negotiating, and reviewing complex commercial agreements.
• Familiarity with utility, energy, infrastructure, or other highly regulated industries preferred.
• Admission to the Kentucky Bar, or ability to become licensed in Kentucky, is highly desirable.

Responsibilities

• Provide legal counsel across commercial contracting, project development, procurement, construction, and operational matters.
• Draft, review, negotiate, and interpret EPC, power purchase, technology, government, procurement, and real estate contracts.
• Advise leaders on corporate, regulatory, contractual, and compliance matters affecting operations.
• Support project development, acquisitions, strategic transactions, and risk management initiatives.
• Assist with M&A, asset acquisitions, due diligence, and post-transaction integration.
• Provide guidance on real estate matters, land rights, condemnation issues, and property transactions.
• Support corporate governance through board materials, resolutions, and governance documents.
