Qualifications

• JD from an ABA-accredited law school.
• 3–6 years of transactional experience at a law firm.
• Strong knowledge of corporate governance and entity structures.
• Excellent drafting, analytical, and organizational skills.
• Ability to manage multiple transactions in a fast-paced environment.
• Team-oriented with a proactive, solutions-driven mindset.
• Hybrid work environment; in-office presence required (approx. 2 days/week).

Responsabilités

• Represent clients in corporate transactions including mergers, acquisitions, dispositions, joint ventures, and strategic investments.
• Draft, review, and negotiate transactional documents (purchase agreements, merger agreements, shareholder agreements, operating agreements, disclosure schedules).
• Conduct and manage due diligence and prepare diligence summaries.
• Assist with transaction structuring, deal management, and closing logistics.
• Advise on general corporate matters including formation, governance, capitalization, and ongoing compliance.
• Coordinate with other practice groups as needed.
• Manage junior associates and paralegals and provide guidance.
• Maintain direct communication with clients and help build long-term relationships.
