Job summary

Chaos Industries seeks a Legal Counsel to support the Radars and Aero units with day-to-day contracting and advisory work. You will draft and negotiate commercial agreements, NDAs, and licenses while guiding teams on IP and data rights.

The role requires a J.D. and active bar status in the US, with at least 4 years’ experience in commercial contracting, preferably in aerospace/defense or tech, and familiarity with ITAR/EAR considerations.

Qualifications

• J.D. and active bar membership in at least one US state.
• Minimum 4 years in commercial contracting, preferably aerospace/defense or tech.
• Experience negotiating and closing commercial agreements independently.
• Knowledge of IP and data rights in tech/manufacturing contexts.
• Familiarity with ITAR/EAR and export controls.

Responsibilities

• Serve as primary legal contact for assigned business unit on day-to-day matters.
• Draft, review, and negotiate commercial contracts, NDAs, teaming agreements, and subcontracts.
• Advise on contracting risk, IP/data rights, and deal structure with cross-functional teams.
• Review FAR/DFARS flowdowns and support proposals with Contracts team.
• Draft and negotiate licenses, vendor and supply agreements.
• Spot ITAR/EAR issues and coordinate with Trade Compliance on authorizations.
