  • Minimum of five (5) years of contract administration experience in aerospace/military equipment.
  • Extensive experience interpreting and applying the FAR/DFARS; experience with FAR Part 12 and FAR Part 15 contracts.

Responsibilities

  • Prepare and customize contract documents using approved templates (NDAs, distribution agreements, MOUs, etc.).
  • Review quotations, POs, supplier agreements, NDAs, gov't solicitations and contracts; advise on language and exceptions.
  • Perform contract administration for existing U.S. Government Prime Contracts with multiple federal agencies.
  • Review and redline customer and vendor contracts; negotiate terms to align with policies and risk standards.
  • Collaborate with executive leadership and cross-functional teams to obtain reviews and timely approvals.
  • Drive positive outcomes in reviews, negotiations, and administration while minimizing delays in awards.
  • Communicate clearly to resolve contractual issues and maintain strong business relationships.

POSITION OVERVIEW

The Director of Contracts serves as a shared services resource supporting multiple business units by managing contract development, review, negotiation, and administration activities for both commercial and U.S. Government business. This role ensures contractual terms comply with company policies, legal requirements, and customer obligations while partnering with cross-functional departments and executive leadership to facilitate timely contract execution and support business objectives.

ESSENTIAL JOB DUTIES AND RESPONSIBILITIES

  • Prepare and customize contractual documents using legal-approved templates, including but not limited to Non-Disclosure and Proprietary Information Agreements, OEM Distribution Agreements, Memoranda of Understanding, Sales Representation Agreements, Basic Ordering Agreements, Contract Logistical Service Agreements, Consignment Agreements, and other commercial and government contract types.
  • Review quotations, purchase orders, supplier agreements, nondisclosure agreements (NDAs), U.S. Government solicitations, contracts, and other contractual documents, identifying required exceptions and advising on appropriate contractual language.
  • Perform contract administration for existing U.S. Government Prime Contracts with multiple federal agencies, ensuring compliance with applicable contractual requirements.
  • Review and redline customer and vendor contracts, negotiating terms and conditions to align with corporate policies, business objectives, and risk management standards.
  • Collaborate with executive leadership and cross-functional departments to obtain required reviews, approvals, and input necessary to complete contract reviews and negotiations in a timely manner.
  • Drive positive outcomes in contract reviews, contract negotiations, and contract administration activities with both customers and suppliers while minimizing delays in contract awards.
  • Utilize strong verbal and written communication skills, negotiation abilities, and an assertive, solution-oriented approach to effectively resolve contractual issues and facilitate successful business relationships.

MINIMUM QUALIFICATION

Education, Certifications and/or licenses:
  • Bachelor's degree in Paralegal Studies or a related field preferred.
  • Minimum of five (5) years of contract administration experience with a manufacturer of military equipment, preferably within the aerospace industry.
  • Extensive experience interpreting and applying the Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation Supplement (DFARS).
  • Experience administering both Commercial (FAR Part 12) and Military (FAR Part 15) contracts, including compliance reporting to the U.S. Government and regulatory agencies.

Knowledge, Skills, and Abilities

  • Advanced verbal and written communication skills.
  • Strong contract review, negotiation, and redlining experience.
  • Thorough knowledge of commercial and government contracting principles, policies, and regulatory requirements.
  • Ability to analyze contractual risks and recommend appropriate business solutions.
  • Ability to manage multiple priorities while meeting deadlines in a fast-paced environment.
  • Strong interpersonal skills with the ability to collaborate effectively across departments and with executive leadership.
