Responsibilities

• Advise ING Americas and Wholesale Banking on U.S. banking laws, regulatory requirements, compliance matters, and market practice relating to lending transactions and related documentation.
• Serve as a trusted legal advisor to front-office lending teams, focusing on trade/commodities finance, receivables financings, letters of credit, and secured lending transactions.
• Review, draft, and negotiate a broad range of commercial, corporate, and operational agreements.
• Advise senior management on governance, regulatory developments, and significant legal risks and trends.
• Draft, implement, and maintain legal policies, procedures, guidelines, and template documentation.
• Develop and deliver legal and regulatory training to business and support functions.
• Monitor and assess legal, regulatory, and market developments affecting ING's U.S. and global operations.
• Collaborate with colleagues across ING's global legal and regulatory functions to address extraterritorial laws.

About the position

ING is seeking an experienced U.S.-qualified lawyer to join the Americas Legal team in New York. The role will provide dedicated legal support to the Lending business, with a focus on trade and commodities finance, receivables financings, letters of credit, and secured lending transactions. The successful candidate will possess strong expertise in UCC Article 5 and Article 9 matters, including the creation, perfection, priority, and enforcement of security interests.

This role requires close collaboration with business, syndicate, risk, and compliance stakeholders, as well as external counsel, to deliver timely, practical, and commercially focused legal advice. In addition, the candidate will provide broad support across the Americas Legal function on a range of legal, corporate governance, and regulatory matters.

As part of a global organization, the role also involves partnering with colleagues across ING to analyze and advise on the impact of U.S. laws and regulations with extraterritorial application, helping to assess and manage legal risks affecting ING's global operations.

• Serve as a trusted legal advisor to front-office lending teams, providing transactional and contractual support with a focus on trade and commodities finance, receivables financings, letters of credit, and secured lending transactions.
• Review, draft, and negotiate a broad range of commercial, corporate, and operational agreements.
• Advise senior management on corporate governance matters, regulatory developments, and significant legal risks and trends impacting the business.
• Draft, implement, and maintain legal policies, procedures, guidelines, best practices, and template documentation to support the firm's business activities and risk management objectives.
• Develop and deliver legal and regulatory training to business and support functions, fostering awareness of legal developments, regulatory requirements, and emerging risks.
• Monitor and assess legal, regulatory, and market developments affecting ING's U.S. and global operations, and provide practical guidance on associated risks and opportunities to internal stakeholders.
• Collaborate with colleagues across ING's global legal and regulatory functions to analyze and address the impact of U.S. laws and regulations with extraterritorial application.

Qualifications and Competencies

• J.D. and active New York Bar admission with strong academic credentials
• 7+ years of experience post-qualification as a New York Bar attorney
• Strong knowledge of varied and complex lending products, including trade and commodities finance, receivables financings, letters of credit law and practices, and secured lending transactions.
• Experience with work-outs, restructurings and bankruptcies a plus.
• In-depth experience with a variety of bank regulatory matters and knowledge of banking-related laws, regulations and rules, including BIC facility and discount window matters
• Commercially minded with a solutions-oriented approach to legal issues
• Able to operate independently in a high-volume, time-sensitive environment
• High attention to detail, commitment to excellent output and sound judgment under pressure

Salary Range

$260,000-$315,000 The salary range listed reflects base salary only. This role is eligible for participation in a discretionary bonus program.
