Job summary

Responsibilities

  • Lead financial and strategic evaluations for target acquisitions, joint ventures, physician partnerships, and de novo expansion opportunities.
  • Support and drive transaction execution—from initial sourcing, pipeline tracking, and target research to due diligence and closing.
  • Coordinate cross-functional due diligence across legal, financial, operational, HR, and other workstreams with internal and external stakeholders.
  • Support transaction structuring and negotiation with Legal, Finance, and senior leadership, maintaining thorough deal documentation.
  • Build and maintain financial models, valuation analyses (DCF, comps), and schedules to evaluate prospective investments.
  • Expand de novo imaging centers by evaluating markets, referrals, demographics, and payer access; develop site prioritization models.

Job description

The Director, Corporate Development & M&A plays a key role in evaluating, prioritizing, and executing growth initiatives across acquisitions, physician partnerships, joint ventures, and de novo market expansion. Reporting to the Vice President of Corporate Development, this leader combines strong financial modeling expertise, strategic analysis, and cross-functional project management to identify and evaluate opportunities that drive enterprise value.

This role manages transaction execution from deal sourcing and due diligence through closing and integration, supports enterprise market planning for de novo development, and collaborates closely with executive, operational, and sales leadership to inform capital allocation decisions.

Responsibilities
  • Transaction Management: Lead financial and strategic evaluations for target acquisitions, joint ventures, physician partnerships, and de novo expansion opportunities.
  • End-to-End Execution: Support and drive transaction execution—from initial sourcing, pipeline tracking, and target research to managing due diligence, open-item tracking, and transaction closing.
  • Multidisciplinary Due Diligence: Coordinate cross-functional due diligence teams across legal, financial, operational, HR, and strategic workstreams alongside internal key stakeholders and external advisors.
  • Negotiation Support: Support transaction structuring and negotiation alongside Legal, Finance, and senior leadership, maintaining a detail-oriented focus on deal documentation and schedules.
Financial Modeling & Strategic Analysis
  • Financial Analysis & Valuation: Build and maintain complex financial models, valuation analyses (e.g., DCF, precedent transactions, comps), and supporting schedules to evaluate prospective investments.
  • Value Creation & Risk Assessment: Challenge modeling assumptions, identify key value drivers, and highlight potential deal risks to balance strategic and financial objectives.
  • Market Intelligence: Monitor industry trends, competitor activities, and market dynamics to identify growth opportunities and synthesize actionable insights for senior leadership.
De Novo Strategy & Site Development
  • Expansion Evaluation: Support enterprise evaluation and planning for de novo imaging center opportunities across target growth markets.
  • Market & Referral Analysis: Partner with Division Operations and Sales teams to perform market assessments incorporating physician referral dynamics, competitive positioning, demographic trends, and payer access.
  • Site Prioritization: Develop volume capture models and ramp assumptions to evaluate site alternatives and prioritize expansion opportunities based on strategic and financial returns.
Business Development Operations & Executive Support
  • Decision Materials: Draft high-impact investment memoranda, business cases, pipeline updates, and presentation materials for the Investment Committee, Board, and senior leadership.
  • Process Infrastructure: Refine standardized investment evaluation tools, transaction frameworks, data rooms, and performance metrics to optimize BD operations.
  • Post-Merger Integration Support: Partner with operational teams to support diligence handoffs, track post-close milestones, and evaluate performance against the original deal thesis.
  • Team Guidance: Mentor junior analysts and team members on financial modeling, valuation techniques, and market analysis methodologies.
Qualifications
  • Education: Bachelor's degree in Finance, Business, Economics, Healthcare Administration, or a related field required; MBA or advanced degree preferred.
  • Experience: 8-10+ years of experience in Corporate Development, Healthcare Strategy, Investment Banking, M&A, or Strategic Finance.
  • Track Record: Proven track record supporting or executing healthcare transactions, acquisitions, physician partnerships, or de novo developments from evaluation to close.
