Job description

Deputy General Counsel

Location: Remote

Job Type: Full Time Employee

Location: USA Only

About Us:HBAR, Inc. acts as an integrated force multiplier to help builders and creators overcome the challenges of bringing their ideas to market. We do this through a comprehensive grant program that provides financial backing for projects, expert support across technology, marketing, and business development; and access to a thriving ecosystem that helps to raise awareness of projects, accelerate innovation, and scale adoption.

We understand that bringing an idea to market can be challenging from a number of perspectives. Lack of funding and operational support can be massive roadblocks for entrepreneurs and builders that want to rapidly deploy projects. We eliminate these roadblocks through a streamlined grant program that can quickly provide funding for a project as well as expert support across technical, marketing, business development, and other operational functions needed to scale.

Position Overview:

The Deputy General Counsel will provide legal counsel and support to the organization on a wide range of legal matters and act in a generalist capacity. The Deputy General Counsel will also help manage and supervise day-to-day activities within the department. This role involves everything from advising on general corporate matters, drafting and negotiating commercial contracts, risk management, employment matters, and litigation. The Deputy General Counsel will work closely with various departments to ensure the organization operates within legal boundaries and mitigates risks.

We are a small legal department, so the ideal candidate is a self-driven, business-minded lawyer capable of taking ownership of a broad range of matters while being highly organized, having a meticulous attention to detail, and a demonstrable ability to produce quality work product in a fast-paced, high-volume environment. You must have a foundational knowledge of and interest in distributed ledger technology/blockchain.

What you’ll do:

  • Interact with and provide legal advice and support to management and internal teams on a wide range of legal matters, including contracts, compliance, employment matters, and litigation.
  • Draft, review, and negotiate various legal agreements and contracts, including token grant agreements, NDAs, marketing agreements, services agreements, and SAFTs and SAFEs.
  • Provide legal support on corporate governance matters, including board resolutions and compliance.
  • Conduct legal research and analysis and provide recommendations that the business can understand and implement.
  • Develop and implement legal policies and procedures.
  • Ensure company compliance with applicable laws, regulations, and internal policies.
  • Operationalize legal workflows and contract management.
  • Manage and oversee litigation and legal disputes when they arise.
  • Collaborate with external legal counsel, as needed.
  • Other duties as required or assigned.

* We retain the right to change or assign other duties to this position.

Qualifications:

  • A foundational knowledge of and interest in distributed ledger technology/blockchain.
  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to a U.S. state bar and in good standing.
  • Minimum of 9 years of experience practicing law, which must include Web3/blockchain experience either in a legal department at a blockchain-focused company or a law firm.
  • In-depth experience negotiating, drafting, and interpreting commercial agreements, preferably in a high-volume, fast-paced environment.
  • Experience negotiating token grant agreements, token liquidity arrangements, SAFTs and SAFEs, and similar agreements pertaining to digital assets.
  • Excellent written and verbal skills.
  • Strong communication and interpersonal skills.
  • Ability to work both as part of a team and independently with minimal direction.
  • Ability to take a pragmatic, business-oriented approach to problem solving in order to achieve business goals and objectives.

How we’ll support you:

  • Competitive compensation package, which may include restricted token units
  • 100% company paid medical, dental, and vision insurance for full-time employees
  • 100% company paid short-term disability, long-term disability, and life insurance for full-time employees
  • 401(k) matching of 50% of your contribution, up to 8% of your annual salary, for full-time employees
  • Flexible paid time off to enable a balance between deliverables and personal priorities
  • Mentorship, training and development from industry leaders to help progress your career

Pay Transparency Notice:

  • The base annual salary for this position ranges from $225,000 - $285,000. Pay is based on several factors including geography, skills and abilities, education, relevant experience, and other relevant factors.
  • Full time employment offers from HBAR, Inc. include a variety of benefits, including medical, dental, vision, and 401(k), and may include an offer of restricted token units.
