Position Summary / Scope of Responsibility:

The Deputy General Counsel (DGC) will provide support to MEDVANTA’s General Counsel, CEO, and Leadership Team by managing matters assigned by the General Counsel and/or CEO. The DGC will serve as a junior legal advisor for technology-driven healthcare operations, with primary focus on Health IT and technology contracting, including IT vendor agreements (e.g., SaaS/hosting/managed services), licensing agreements, and service level agreements (SLAs)/performance-based commitments, as well as the legal review of technology arrangements and related commercial terms. The DGC is responsible for the draft/review of legal correspondence and agreements, including technology and vendor contracts, licensing terms, SLA/performance provisions, and healthcare real estate lease/sublease review for facilities associated with MEDVANTA and/or healthcare organizations managed within the MEDVANTA ecosystem.

The DGC also supports litigation-related and compliance-oriented functions as assigned, including document preservation/holds, subpoena response, legal research, record keeping, and privilege management. The ideal candidate will have substantial experience in technology and Health IT contracting in the healthcare space, demonstrated ability to navigate complex commercial terms (including risk allocation, indemnities, limitation of liability, termination/transition, data/security considerations, and SLA remedies), and meaningful experience with commercial leases for healthcare operations.

The DGC will use sound professional judgment, in collaboration with and under the direction of the General Counsel, to provide high level legal support in a demanding, fast-paced environment, and will be expected to operate with significant autonomy on assigned workstreams.

Primary Responsibilities:

The incumbent may be asked to perform job-related tasks other than those specifically stated in this description. The duties and responsibilities of the position are to be carried out in a manner that is consistent with the Mission, Core Values and Operating Principles/Policies of MEDVANTA.

  • Work closely with the General Counsel, Central Office team and/or Leadership Team to gain and maintain a comprehensive understanding of MEDVANTA governance structures, programs, and unique organizational needs.
  • Draft communications and document transmissions in preparation for outside counsel and other parties. - Review technical papers as needed and prepare correspondence, presentations, and various documents.
  • Draft/review of agreements such as IT/Health IT vendor agreements (SaaS/hosting/managed services and related professional services), technology implementation/support agreements, employment, and/or commercial leases. - Draft/review of licensing agreements and related IP/commercial licensing provisions.
  • Draft/review of service level agreements (SLAs) and related performance/availability commitments, remedies, and operational metrics.
  • Draft/review of technology arrangements including integrations, data handling concepts, subcontracting/downstream flow-downs, and transition/exit obligations.
  • Draft/review of commercial leases and subleases for healthcare facilities or healthcare-related operations, including assignment/sublease provisions, defaults, and renewal/termination terms.
  • Prepare litigation materials, creating privilege logs, cite-checking, and performing pretrial preparation, and legal research or drafting as needed.
  • Performing legal research and/or crosscheck regulations for compliance with HIPAA and other healthcare privacy/security requirements, CMS, DOL, EEOC, Workers Compensation and/or other state/federal laws as needed.
  • Assist with legal support activities and discovery that includes holds, hold process, and drafting of reports related to those legal activities.
  • Assisting with transmittal, filing, scheduling and archiving documents according to records management needs. - Manage deadlines, filings, and the flow of facts and information, in addition, schedule, organize and prepare documents and materials for meetings.
  • Type correspondence, reports, and tabular data from drafts and ensure proper edits which include spelling, punctuation, and grammar in compliance with identified style and standards.
  • Utilize Word, Excel, PowerPoint, databases, graphics, project management applications, and other applications in support of the work.
  • Maintain hard copy and electronic filing and record-keeping systems, as well as retrieve and file documents in these systems and maintain logs and reports of said systems.
  • Assist with special projects outside of the administrative support duties identified above.

Requirements, Education and Experience:

  • J.D. from an accredited law school
  • Admitted to at least one State Bar (Maryland preferred)
  • 5-10 years of corporate law, real estate, M&A, and/or healthcare law experience
  • Proficiency with Microsoft Office suite of products and legal technology platforms, including contract lifecycle management systems
  • Experience collaborating across multiple functions
  • Experience innovating in a fast-growing work environment and dealing with ambiguity
  • Experience advising on technology related legal matters, including software licensing, SaaS, cloud services, cybersecurity, data privacy, artificial intelligence (AI), and other emerging technologies
