Qualifications

  • Juris Doctor degree from ABA-accredited law school.
  • Minimum of 5–8 years of progressive legal experience focused on commercial contract drafting/negotiation.
  • Active U.S. bar membership (at least one state).
  • Experience drafting/negotiating MSAs, vendor contracts, software licenses, NDAs.

Responsibilities

  • Review, draft, and negotiate a wide range of commercial agreements, including BAAs, NDAs, software licenses, vendor and customer contracts.
  • Apply expertise in technology, cloud services, data licensing, and AI to negotiate data privacy, IP ownership, liability, and AI governance terms.
  • Ensure terms align with risk standards, policies, and regulations (HIPAA, HITECH, Stark Law, Anti-Kickback Statute).
  • Support internal stakeholders with contract interpretation, risk assessment, RFPs, and vendor questionnaires.
  • Develop legal templates, playbooks, and corporate policies; oversee contract lifecycle management.

Job description

The Assistant General Counsel performs a variety of general and specific legal duties in supporting the day-to-day activities of the Legal Department and its internal and external clients, including contract review and negotiation, legal compliance research and reports, and prioritizing multiple competing priorities. Manages internal and external clients. Works in a very high energy, high productivity environment in a very fast-growing global company. The ideal candidate will have experience or strong interest in reviewing and negotiating commercial contracts, particularly in the healthcare and technology sectors.This role offers a unique opportunity to work on mission-critical transactions and to gain broad exposure to the legal and operational challenges facing healthcare technology companies.

Essential Job Functions

Review, draft, and negotiate a wide range of commercial agreements-including client master services agreements, business associate agreements (BAAs), NDAs, software/SaaS licenses, vendor, subcontractor, and customer contracts-while supporting contract governance, RFPs, vendor questionnaires, and related administrative needs.

Apply expertise in technology, cloud services, data licensing, and artificial intelligence (AI/ML) to negotiate terms covering data privacy, IP ownership, liability allocation, and AI governance.

Ensure contractual terms align with internal risk standards, company policies, and applicable regulations (e.g., HIPAA, HITECH, Stark Law, Anti-Kickback Statute).

Support internal stakeholders (Sales, Product, Operations, IT, Finance, Compliance) with contract interpretation, risk assessment, RFPs, and vendor questionnaires.

Conduct legal research, assist with compliance initiatives, and lead the development of legal templates, playbooks, and corporate policies.

Oversee corporate entity maintenance, asset research, contract lifecycle management, and legal department process improvements.

Manage corporate insurance program operations, including the application, procurement, and renewal processes.

Review and manage outside counsel billing and legal invoices.

Identify critical legal risks for escalation to the Chief Legal Officer.

Perform other duties as assigned at the discretion of the Chief Legal Officer .

Required Education and Experience

Juris Doctor (JD) degree from an ABA-accredited law school.

Minimum of 5 to 8 years of progressive legal experience, with a strong focus on commercial contract drafting and negotiation.

Active bar membership in good standing in at least one U.S. state (and eligible for single-client/in-house corporate counsel registration if applicable) .

Proven track record drafting, reviewing, and negotiating complex commercial transactions (e.g., MSAs, vendor contracts, software licenses, NDAs).

Practical working knowledge of data privacy laws and healthcare regulatory frameworks (e.g., HIPAA/HITECH, BAAs, data security).

Preferred Education and Experience

3+ years of direct in-house legal experience within a corporate legal department (especially in healthcare, health-tech, SaaS, or BPO sectors) .

Demonstrated expertise negotiating technology, SaaS, cloud, and artificial intelligence (AI/machine learning) commercial terms and data-licensing agreements .

Working knowledge of broader healthcare laws (e.g., Stark Law, Anti-Kickback Statute, compliance playbooks).

Position Type/Expected Hours of Work

This is a full-time position. Days and hours of work are generally Monday through Friday, 8:00 a.m. to 5 p.m. This position occasionally requires long hours and weekend work.

Minimal travel required; up to 5%
