Our client, a premier AmLaw 50 firm, seeks a driven mid-level Associate Attorney to join its high-performing Debt Finance Practice Group. You will work on complex debt financing transactions for elite private equity sponsors, direct lenders, and financial institutions.

The role offers significant responsibility from day one, with collaboration across PE, banks, and credit lenders, and opportunities for growth within a global platform and mentorship-driven culture.

Qualifications

• JD from a top-tier law school with a strong academic record.
• Active Bar Admission in the relevant jurisdiction, in good standing, or eligibility to obtain admission promptly.
• 3–8 years of substantive experience representing private equity sponsors, banks, and/or private credit lenders in leveraged finance transactions.
• Experience structuring, drafting, and negotiating term and revolving credit facilities for leveraged buyouts, acquisition financings, and corporate growth.
• Prior experience at an AmLaw 100 or similarly sophisticated firm preferred.

Responsabilités

• Represent private equity sponsors and financial institutions in sophisticated debt finance transactions.
• Draft, negotiate, and manage key financing documents such as commitment papers, credit agreements, and security agreements.
• Advise clients on structuring and execution of senior, mezzanine, and unitranche facilities.
• Collaborate with colleagues across the firm’s private equity, M&A, tax, and restructuring teams to deliver comprehensive transactional support.
• Serve as a key contributor throughout all stages of transactions - from term sheet negotiations through closing.
