Our client, a premier AmLaw 50 firm, seeks a mid-level Associate Attorney to join its esteemed Debt Finance Practice Group in a hybrid arrangement. You will handle high-value debt financings for private equity sponsors, direct lenders, and financial institutions across multiple deal structures and industries.

The ideal candidate has 3–8 years of experience in leveraged finance, strong drafting and negotiation skills, and admission to the bar in the relevant jurisdiction.

Qualifications

• JD from a top-tier law school with a strong academic record.
• Active Bar Admission in the relevant jurisdiction, in good standing, or eligibility to obtain admission promptly.
• 3–8 years of substantive experience representing private equity sponsors, banks, and/or private credit lenders in leveraged finance transactions.
• Deal Experience in structuring, drafting, and negotiating term and revolving credit facilities for LBOs, acquisitions, and corporate growth.
• Documentation: drafting and negotiating commitment letters, credit agreements, and collateral documents.

Responsabilités

• Represent private equity sponsors and financial institutions in sophisticated debt finance transactions.
• Draft, negotiate, and manage financing documents such as commitment papers, credit agreements, and security documents.
• Advise clients on structuring and execution of senior, mezzanine, and unitranche facilities.
• Collaborate with private equity, M&A, tax, and restructuring teams for transactional support.
• Serve as a key contributor from term sheet negotiations through closing.
