Qualifications

Responsibilities

Position Overview:

Reporting to the Director, Debt Compliance & Equity, the Debt Compliance Analyst plays a critical role within the Debt Compliance function serving as a primary resource for monitoring and ensuring the organization's adherence to all debt covenant obligations, credit facility requirements, and financial agreements across its capital structure. In this capacity, the Analyst is responsible for preparing accurate and timely compliance reports, certificates, and supporting documentation for lenders, internal stakeholders, and external advisors. This professional will collaborate cross-functionally with Legal, Accounting, Treasury, and external partners to uphold the highest standards of financial compliance and reporting integrity. This position offers meaningful exposure to complex financial instruments, capital markets transactions, and debt portfolio management in a dynamic and high-impact environment.

Role and Key Responsibilities:
  • Monitor and track compliance with all debt covenants, loan agreements, and credit facility requirements on an ongoing basis, ensuring all reporting obligations are met and thresholds are maintained.
  • Prepare, review, and distribute periodic covenant compliance certificates and comprehensive compliance reports to lenders, administrative agents, and relevant stakeholders.
  • Analyze financial data to assess covenant headroom across all applicable debt instruments and proactively identify potential compliance risks or areas of concern.
  • Maintain and actively manage the debt compliance calendar, including all reporting deadlines, notice periods, and required certifications, as well as the organization's documentation repositories.
  • Review and interpret loan agreements, indentures, credit agreements, and related legal instruments to identify and document compliance requirements and financial covenants.
  • Support due diligence processes and documentation management for new debt issuances, refinancings, amendments, and waivers.
  • Assist with financial modeling and scenario analysis related to debt capacity, covenant sensitivity, and overall capital structure optimization.
  • Liaise with external auditors, legal counsel, and financial advisors on debt compliance matters, ensuring timely and accurate information sharing.
  • Identify and implement opportunities to enhance compliance processes, internal controls, and reporting efficiency across the debt function.
  • Support the preparation of regulatory filings and disclosures related to debt instruments, as applicable.
  • Facilitate the preparation of Management Discussion & Analysis (MD&A) reporting associated with annual financial reporting.
  • Coordinate with Financial Planning & Analysis (FP&A) to produce the quarterly Capital Allocation Memo.
  • Prepare and deliver quarterly reporting packages for minority investors.
Professional Requirements:
  • Bachelor's degree in Finance, Accounting, Economics, Business Law, or a closely related/applicable field.
  • 4-7 years of progressive experience in internal audit, finance, treasury, public accounting, or as a corporate paralegal with debt, credit, or finance experience.
  • Strong foundational understanding of debt instruments, credit agreements, financial covenants, and capital structure concepts.
  • Advanced Microsoft Excel skills.
  • Excellent written and verbal communication skills, with the ability to present findings to both financial and non-financial audiences.
  • Highly organized and detail oriented; meticulous with the ability to manage multiple concurrent deadlines with a high degree of accuracy and independence.
  • Demonstrated ability to work effectively in cross-functional teams and build productive relationships with internal and external stakeholders.
Highly Preferred Qualifications:
  • Prior experience at a private equity-backed organization with complex capital structures or an investment bank.
  • Proficiency in financial modeling.
  • The ability to translate complex financial data into clear and actionable insights.
  • Experience with ERP systems or treasury management systems (TMS).
  • Completion of a professional certification such as Certified Internal Auditor (CIA), Chartered Financial Analyst (CFA), Certified Public Accountant (CPA), Certified Paralegal (CP), or Texas Board of Legal Specialization Board Certified Paralegal (TBLS-BCP) with financial/audit specialty.
