Job Overview

A law firm seeks a talented M&A Associate with a minimum of three years' experience to join its Cross Border M&A Team in Miami. This role offers the opportunity to work on sophisticated domestic and international transactions, focusing on cross-border matters involving the US, Latin America, and other global markets.

Duties

• Advise clients on domestic and international mergers and acquisitions, joint ventures, and other strategic transactions.
• Draft, review, and negotiate various transaction documents and corporate materials.
• Support transaction structuring and execution across the US, Latin America, and other international markets.
• Conduct and coordinate legal due diligence on corporate and transaction-related materials.
• Collaborate with cross-practice and cross-border deal teams.
• Advise on corporate governance, entity formation, and post-closing integration matters.
• Communicate effectively with clients, counterparties, and internal deal teams.

Requirements

• Juris Doctor degree from an accredited law school.
• Licensed in the jurisdiction of the hiring office.
• Reside in the designated jurisdiction at or prior to the time of hire.
• Experience in mergers and acquisitions, private equity, joint ventures, or corporate governance.
• Experience with cross-border transactions, particularly involving the US and Latin America, preferred.
• Strong drafting, negotiation, analytical, and project management skills.
• Ability to manage multiple workstreams and meet deadlines.
• Excellent judgment, attention to detail, and communication skills.
• Fluency in Spanish is required.

Education
