CTIA is seeking a Counsel to support the Vice President & Deputy General Counsel in drafting and reviewing day-to-day agreements, e-discovery, compliance, IP, and other matters for the association.

Responsibilities include reviewing service, consulting, and master services agreements, maintaining contract templates, managing contract flow, and coordinating IP filings. The role also involves governance tasks and training content via LMS and CLM systems.

Qualifications

  • Drafts and reviews a wide array of agreements, including service, consulting, master services, license, NDAs and more.
  • Maintains templates and contract playbooks to reflect evolving requirements.
  • Oversees cradle-to-grave contract management and internal/external flow.
  • Manages IP portfolios, filings, renewals, and proper use of IP rights.
  • Supports corporate governance with board materials and outside counsel.
  • Operates LMS and CLM systems and administers employee training.

Reports To: Vice President & Deputy General Counsel
FLSA Status: Exempt
Salary Range: $115,000 - $145,000
Summary:

Under the oversight of CTIA's Vice President & Deputy General Counsel, Chief of Corporate Affairs & Compliance, Counsel will assist the legal department in drafting and reviewing a variety of the Association's day-to-day agreements and provide general assistance and support to the legal department on e-discovery, compliance, intellectual property, and other matters.

Essential duties and responsibilities include the following (other duties may be assigned):
  • Review and edit a wide array of agreements including but not limited to: service agreements, consulting agreements, master services agreements, license agreements, event and hotel agreements, terms of use, privacy policies,NDAs, termination notices, change orders, amendments, statements of work, and other legal documents
  • Experience reviewing, maintaining, and updating contract templates and contract playbooks to reflect evolving legal requirements, business objectives, and best practices. Monitor CTIA's and its subsidiaries' compliance with key contract terms and provisions
  • Oversee day-to-day contract flow of agreements both internally and externally; and provide cradle-to-grave contract management
  • Manage intellectual property portfolios, including coordinating with internal teams and outside counsel on IP applications, renewals, and maintenance; supporting USPTO and international filing requirements; and advising business stakeholders on the proper use and protection of registered and pending intellectual property rights.
  • Attend working group meetings and generate notes and/or reports on relevant legal deliverables
  • Experience using learning management systems (LMS) and contract lifecycle management (CLM) systems, including maintaining and updating legal and compliance training content and administering training programs for employees.
  • Manage corporate governance matters, including preparing and maintaining board and committee resolutions, minutes, and other corporate records, and effectively managing outside counsel on corporate, litigation, and other legal matters. Review submissions of CTIA's consumer code for annual certification
