Job summary

Hinckley Allen is seeking a paralegal with at least three years of experience to join its Corporate & Business Group in Boston or Providence. The ideal candidate will handle a range of corporate and financial transactions, drafting ancillary documents and coordinating diligence, closings, and regulatory filings.

Strong communication and organizational skills are essential, with a preference for a bachelors degree and a paralegal certification or relevant experience.

Qualifications

• At least three years of paralegal experience in corporate/financial transactions.
• Experience drafting ancillary transaction documents and governance filings.
• Strong verbal and written communication skills with excellent organizational abilities.

Responsibilities

• Draft ancillary transaction documents (resolutions, certificates, formation, state filings, governance documents).
• Coordinate due diligence activities and organize document repositories for transactions.
• Prepare timetables and checklists for transactions and closing items.
• Prepare and file annual reports and other compliance filings at federal/state/local levels.
• Organize corporate minute books and stock ledgers; maintain records.
• Conduct online UCC corporate and court records searches.
• Prepare and file UCC financing statements.
• Assist with business licensing issues; support final closing of transactions.
