Job summary

TEEMA Group is seeking a Corporate Associate Attorney (Junior to Midlevel) in Seattle, WA, with 1-5 years of corporate transactional experience. You will support private companies, investors, and founders on acquisitions, venture financings, governance, and other business matters.

You will draft and negotiate agreements, coordinate due diligence, advise boards, and collaborate across practice groups, with exposure to complex deals and meaningful responsibility through the deal process.

Qualifications

• 1–5 years of corporate transactional experience at a law firm.
• Strong legal drafting, analytical, organizational, and communication skills.
• Ability to manage competing deadlines and contribute across multiple deal teams.
• Interest in advising private businesses, investors, and entrepreneurs.

Responsibilities

• Support buy-side and sell-side M&A transactions, including acquisitions, divestitures, joint ventures, and related strategic investments.
• Advise businesses and their boards on governance, organizational matters, and ongoing corporate needs.
• Assist founders and emerging companies with entity formation, financing, and legal matters as their businesses grow.
• Support venture capital investments and equity financing transactions.
• Draft and negotiate purchase agreements, financing documents, disclosure schedules, board materials, and supporting transaction documents.
• Conduct and coordinate due diligence, track outstanding issues, and help move transactions through closing.
• Communicate with clients, investors, and deal teams to manage deadlines and deliverables.
• Collaborate with attorneys in tax, employment, IP, real estate, and other relevant practices.
