Qualifications

• J.D. from an accredited law school.
• Active membership in good standing with the Washington State Bar.
• 2-4 years of corporate transactional experience.
• Experience with corporate governance, mergers and acquisitions, commercial transactions.

Responsibilities

• Advise clients on general corporate governance matters.
• Assist with mergers and acquisitions transactions from due diligence through closing.
• Draft, review, and negotiate transaction documents.
• Support commercial and corporate transactions across various industries.
• Prepare and review corporate organizational documents and governance materials.
• Coordinate transaction workstreams and manage closing processes.
• Conduct legal research and provide practical business-focused advice to clients.
• Work directly with partners, clients, and deal teams on sophisticated transactional matters.
• Support ongoing client counseling regarding corporate governance and operational matters.
