Qualifications

• Juris Doctor (J.D.) from an accredited law school.
• Active admission and good standing with the Ohio Bar.
• Minimum of 4 years of experience in corporate, transactional, business, or commercial law.
• Strong contract drafting, review, and negotiation skills.
• Experience with corporate governance, business formations, and commercial transactions.
• Excellent legal research, analytical, writing, and communication abilities.
• Strong organizational skills and attention to detail.
• Ability to manage competing priorities and meet deadlines.
• Self-starter who can work independently while thriving in a collaborative team environment.

Responsibilities

• Build and maintain strong client relationships while supporting business development initiatives
• Draft, review, and negotiate a wide variety of commercial contracts and business agreements
• Advise clients on business formation, entity structuring, and corporate governance matters
• Conduct legal research and prepare memoranda, opinions, correspondence, and other legal documents
• Support mergers, acquisitions, business sales, and other strategic transactions
• Prepare corporate resolutions, consents, organizational documents, and related materials
• Conduct due diligence and assist with transaction closings and post-closing activities
• Provide practical, business-oriented legal advice on corporate, contractual, and operational matters
• Communicate directly with clients, opposing counsel, accountants, and other advisors
• Develop a deep understanding of client businesses and industry challenges
• Manage multiple matters simultaneously while collaborating effectively with attorneys and support staff
