Job summary

Beacon Hill Staffing Group seeks a Corporate Legal Assistant for a western suburb Chicago law firm in Wheaton, IL. This full-time, 100% onsite role supports attorneys across sophisticated corporate matters, including mergers and acquisitions, private equity, finance, private funds, and investment management.

The position offers hours of 8:30 AM–5:00 PM or 8:00 AM–4:30 PM, Monday through Friday, with a salary range of 55k–65k+ depending on experience.

Qualifications

5+ years in corporate or transactional legal assistance in a law firm or corporate legal department.
Experience supporting corporate transactions (M&A, private equity, finance, funds, or investment management) preferred.
Bachelor's degree and/or paralegal certificate preferred.
Knowledge of Westlaw and Lexis; familiarity with SEC filings a plus.
Strong organizational skills and attention to detail.

Responsibilities

Prepare and file formation and dissolution documents with state authorities.
Obtain certificates of good standing and certified copies from appropriate agencies.
Prepare and submit applications for EINs.
Assist with transactional closings, including signature pages and filings.
Compile and maintain corporate records and minute books.
Prepare stock certificates and governance documents.
Coordinate pre- and post-closing document assembly.
Communicate with clients and vendors to support transactions.
