Hodgson Russ LLP seeks an attorney to join its Corporate & Securities practice in one of several offices (Buffalo, Albany, Saratoga Springs, Rochester, NY City, or Palm Beach). The role focuses on leading complex transactions, advising on governance and strategy, and growing client engagements across practice groups.

You will mentor junior attorneys, collaborate with multiple teams, and contribute to strategic initiatives while delivering sophisticated legal solutions in a fast-paced environment.

Qualifications

• Experience advising complex mergers and acquisitions, private equity, venture capital, or corporate governance.

Responsibilities

• Lead and oversee complex mergers, acquisitions, divestitures, joint ventures, financings, and other strategic corporate transactions.
• Cultivate and maintain strong client relationships, identifying opportunities to expand engagements across practice areas.
• Collaborate with attorneys across multiple practice groups to deliver integrated legal solutions for complex transactions.
• Counsel clients on corporate governance, fiduciary duties, formation, restructuring, compliance, and related matters.
• Supervise and mentor associates and counsel within the Corporate & Securities group.
• Contribute to firm leadership initiatives, strategic planning, and business development.

Hodgson Russ LLP, a dynamic and leading AmLaw 200 firm known for its excellence and innovation in legal services, is seeking an attorney to join its Corporate & Securities practice group in the Firm’s Buffalo, Albany, Saratoga Springs, Rochester, New York City, or Palm Beach offices.

Qualifications

Responsibilities

• Lead and oversee complex mergers, acquisitions, divestitures, joint ventures, financings, and other strategic corporate transactions.
• Cultivate and maintain strong client relationships, acting as a trusted advisor and identifying opportunities to expand and deepen client engagements across practice areas.
• Collaborate with attorneys across multiple practice groups to deliver integrated legal solutions for clients in connection with complex transactions, regulatory challenges, and strategic business initiatives.
• Counsel clients on corporate governance, fiduciary duties, entity formation, restructuring initiatives, succession planning, compliance obligations, and other business-critical legal matters.
• Supervise, mentor and develop associates and counsel within the Corporate & Securities practice group.
• Contribute to firm leadership initiatives, strategic planning, and business development efforts.

Requirements

• Juris Doctor (J.D.) from an accredited law school.
• Strong academic credentials.
• Excellent technical, written, and verbal communication skills.
• Ability to work collaboratively with other practice areas to provide comprehensive solutions to clients.

A competitive compensation and comprehensive benefit package, including medical, dental, vision, life, long term disability, flexible spending, 401(k), Paid Time Off, pension plan, and more. At this time, the good faith estimate of the annual salary range for this position, if the successful applicant is based in Buffalo, Albany, Saratoga Springs, Rochester, New York City, or Palm Beach, is $175,000 to $450,000. This range is not applicable to other locations.
