Job Title: Corporate Paralegal
Department: Corporate Practice Group
Reports To: Corporate Practice Group Leader
SUMMARY
Rees Broome’s Corporate Paralegal will provide general corporate and transactional support to attorneys in the corporate practice group and will interact with external clients as well as internal support staff.
PRIMARY DUTIES & RESPONSIBILITIES
· Prepare and file documents to effect entity formations (corporations and limited liability companies), qualifications, dissolutions and withdrawals;
· Draft minutes and consents for meetings/actions of shareholders/directors, members/managers;
· Assemble and maintain minute books;
· Support attorneys on corporate transactions (mergers and acquisitions, asset sales, equity investments), including public record searches and other diligence support, drafting resolutions, certificates, schedules and other closing deliverables, coordinating closings (compiling signatures and closing deliverables), assembling final documents and ensuring post-closing tasks are accomplished.
MINIMUM QUALIFICATIONS

Education and/or Experience:
Required:
· Bachelor’s degree from an accredited college or university, paralegal certification or equivalent work experience;
· Experience with forming limited liability companies and corporations; and with corporate acquisitions, financings and/or other transactions;
· Experience preparing and filing documents with Secretaries of State, including articles/certificates of incorporation, articles/certificates of organization/formation (for LLCs), certificates of qualification, dissolution and withdrawal, UCCs, and securities filings;
