Qualifications

• 3+ years of corporate paralegal experience.
• Experience supporting M&A or corporate transactions.
• Prior law firm experience preferred.
• Knowledge of corporate governance and entity formation/maintenance.

Responsibilities

• Manage paralegal duties across M&A and corporate transactions, including closing checklists and timelines.
• Prepare and coordinate signature packets, execution documents, and closing sets.
• Coordinate due diligence and virtual data rooms.
• Handle UCC filings, lien searches, and good standing certificates.
• Form and maintain corporations, LLCs, partnerships, and other entities.
• Prepare organizational documents, corporate records, and governance materials.
• Support equity issuances and capitalization records.
• Communicate with attorneys, clients, opposing counsel and vendors through transactions.
