Job summary

Hillwood Development Company LLC seeks a Corporate Paralegal in Dallas to support the Legal team, reporting to Associate Corporate Counsel. You will handle corporate formation, governance, and multi-jurisdictional compliance, coordinating closings and filings with internal teams.

Responsibilities include entity maintenance for multiple jurisdictions, execution of resolutions, and supporting acquisitions, financings, and real estate transactions, while ensuring precise record-keeping and

Qualifications

• Bachelor's degree or paralegal certificate preferred.
• Minimum of 5 years of corporate paralegal experience.
• Experience with corporate formation, governance and multi-jurisdictional compliance.
• Experience supporting corporate transactions, financings, M&A, and/or real estate transactions.
• Experience preparing corporate resolutions, consents and related documents.

Responsibilities

• Entity Formation, Governance and Maintenance: manage formation, org, maintenance, dissolution of entities across jurisdictions and draft/maintain governance documents.
• Governance and compliance: handle annual reports, filings, licenses, and officer/director changes.
• Corporate Transactions and Closings: support acquisitions, dispositions, joint ventures, financings and coordinate closings.
• Financing and Loan Support: assist with financings, prepare certificates and due diligence requests, manage trademark portfolio.
• Cross-Functional Coordination: serve as point of contact across Legal and business units.
