Reporting to the Director of Legal and Finance, the Senior Corporate Paralegal will play a significant part supporting the Director of Legal and Finance in managing and prioritizing the company’s legal needs and matters. This versatile role involves working with all parts of the business.
Base pay range
$70,000.00/yr - $100,000.00/yr
Responsibilities
- Independently manage CVE’s corporate legal entities: oversee annual filings prepared by registered agent, draft resolutions and consents as needed.
- Create new legal entities and obtain EIN as required for business needs.
- Help prepare for shareholder and board meetings, including agendas, resolutions and minutes.
- Assist the business development team with real estate and title matters, focusing on new option agreements, lease agreements and purchase and sale agreements; assist the Accounting team in some tax-related submissions.
- Prepare or review memorandums of leases or PSA, notices, consents and all other documents or requirements for site control.
- Assist in closings of financing and M&A transactions, assist with due diligence, prepare closing certificates, resolutions, incumbency certificates and other ancillary documents as required.
- Coordinate with third parties (surveyors, title companies, outside counsel, lenders) to deliver required documents.
- Coordinate notarization, recording, and sending documents to relevant towns or other stakeholders.
- Facilitate communication between the internal team and external parties during closings and on matters under responsibility.
- Answer questions and elevate issues and concerns.
- Assist the Director of Legal and Finance with other corporate legal matters such as non-disclosure agreements, commercial contracts, corporate governance, drafting of certificates, consents, guarantees.
- Assist in setting up processes and efficiencies for the business relating to tracking and monitoring commitments, renewal dates, and other legal obligations.
- Create and maintain the various legal templates for the business.
Desired Skills and Experience
- College degree and/or paralegal certificate required.
- Minimum of 3 years of experience as a paralegal.
- New York State Notary.
- Highly organized, able to prioritize, and effective at managing time across projects and deadlines.
- Excellent verbal and written communication abilities and keen attention to detail.
- Team player, ready for the challenge of working in a fast-growing, fast-paced environment.
- Fluent in English; proficiency in French is a plus but not required.
- Conviction that renewable energy will play a significant role and desire to be a player in the transition to clean energy.
