Job summary

Gunderson Dettmer is seeking a Corporate Paralegal to support company formations, venture financings, and securities offerings in our Silicon Valley office. The role includes assisting with stock incentive programs and compliance matters for private and public companies.

You will conduct legal research, maintain corporate records, and assist with due diligence for financings and M&A. The ideal candidate has at least one year of corporate paralegal experience.

Qualifications

• At least one year of experience as a Paralegal in securities and/or general corporate law.
• Strong proficiency in Word and Excel.
• Excellent interpersonal and written communication skills.
• Ability to work collaboratively in a fast-paced environment.
• Detail-oriented with strong organizational skills.

Responsibilities

• Maintain corporate records including bylaws, certificates of incorporation, board resolutions, stock certificates, and annual reports.
• Conduct legal research on corporate law matters.
• Assist with due diligence for financings and mergers and acquisitions.

• Support formation and qualification of new business entities.
• Prepare and revise legal documents such as resolutions and operating agreements.

Job description

Gunderson Dettmer has an opening for a Corporate Paralegal in our Silicon Valley office. The Corporate Paralegal will assist with company formations and venture capital financings of private companies and will provide support in mergers and acquisitions, limited and general partnerships, IPO’s and other securities offerings. The Corporate Paralegal will also assist private and public company clients with some aspects of stock incentive program administration including state and federal securities law compliance.

Job Responsibilities

• Maintaining accurate and up-to-date corporate records including bylaws, certificate of incorporation, board resolutions, stock certificates, and annual reports.
• Conducting legal research on corporate law matters, including state and federal regulations.
• Assisting with legal documentation and due diligence processes related to financings and mergers and acquisitions.
• Maintaining records related to shareholder meetings and voting procedures.
• Assisting with the formation and qualification of new business entities in various jurisdictions.
• Creating and revising legal documents such as corporate resolutions, amendments to bylaws, and operating agreements.

Job Requirements

• At least one year of experience as a Paralegal in the areas of securities and/or general corporate law.
• Advanced proficiency in Microsoft Word and Excel.
• Excellent interpersonal, written (grammar, spelling, format) and verbal communication skills.
• Demonstrated problem solving skills.
• Ability to work collaboratively with all levels of the organization and demonstrate a team-oriented work style.
• Excellent organizational skills and attention to detail.
• Ability to effectively handle shifting priorities and adapt to changing demands in a fast-paced, dynamic environment.

Educational Requirements

• BS/BA degree.

The annualized base salary range for this position is expected to be $75,000.00 - $180,000.00. While this range reflects the minimum and maximum value for new hire salaries for the position across all US locations, the offer for the successful candidate for this position will be based on job related capabilities, applicable experience, and other factors such as work location. Please note that the compensation details listed in US role postings reflect the base salary only and do not include bonus, benefits, or related incentives for which this position is eligible.
