Job summary

Gunderson Dettmer seeks a Corporate Paralegal in its Silicon Valley office to assist with company formations, venture financings, and securities offerings. You will support M&A, stock incentive programs, and various corporate matters for private and public clients.

Requirements include at least one year as a paralegal in securities or corporate law, strong Word/Excel skills, and excellent communication and organizational abilities.

Responsibilities

• Maintain accurate corporate records (bylaws, certificates, resolutions, stock certificates, annual reports).
• Conduct legal research on corporate law matters (state and federal).
• Assist with due diligence and documentation for financings and M&A.
• Maintain records of shareholder meetings and voting procedures.
• Assist with formation and qualification of new entities in various jurisdictions.
• Create and revise legal documents (resolutions, amendments, operating agreements).

Job description

Gunderson Dettmer has an opening for a Corporate Paralegal in our Silicon Valley office. The Corporate Paralegal will assist with company formations and venture capital financings of private companies and will provide support in mergers and acquisitions, limited and general partnerships, IPO’s and other securities offerings. The Corporate Paralegal will also assist private and public company clients with some aspects of stock incentive program administration including state and federal securities law compliance.

Job Responsibilities

• Maintaining accurate and up-to-date corporate records including bylaws, certificate of incorporation, board resolutions, stock certificates, and annual reports.
• Conducting legal research on corporate law matters, including state and federal regulations.
• Assisting with legal documentation and due diligence processes related to financings and mergers and acquisitions.
• Maintaining records related to shareholder meetings and voting procedures.
• Assisting with the formation and qualification of new business entities in various jurisdictions.
• Creating and revising legal documents such as corporate resolutions, amendments to bylaws, and operating agreements.

Job Requirements

• At least one year of experience as a Paralegal in the areas of securities and/or general corporate law.
• Advanced proficiency in Microsoft Word and Excel.

The annualized base salary range for this position is expected to be $75,000.00 - $180,000.00. While this range reflects the minimum and maximum value for new hire salaries for the position across all US locations, the offer for the successful candidate for this position will be based on job related capabilities, applicable experience, and other factors such as work location. Please note that the compensation details listed in US role postings reflect the base salary only and do not include bonus, benefits, or related incentives for which this position is eligible.
