Job summary

Gunderson Dettmer is hiring a Corporate Paralegal in its Silicon Valley office to support corporate formations, venture capital financings, mergers & acquisitions, and securities offerings. The role includes stock incentive program administration and compliance with securities laws.

The position is full-time, hybrid, with a base salary range of $75,000–$180,000 annually, plus comprehensive benefits including medical/dental/vision and 401(k).

Qualifications

• Minimum one year of paralegal experience in securities and/or general corporate law.
• Advanced proficiency in Microsoft Word and Excel.
• Excellent interpersonal, written (grammar, spelling, formatting), and verbal communication skills.
• Demonstrated problem‑solving skills.
• Ability to work collaboratively with all levels of the organization and demonstrate a team‑oriented work style.
• Excellent organizational skills and attention to detail.
• Ability to manage shifting priorities in a fast‑paced, dynamic environment.
• Bachelor’s degree (BS/BA).

Responsibilities

• Maintain accurate corporate records, including bylaws, certificate of incorporation, board resolutions, stock certificates, and annual reports.
• Conduct legal research on corporate law matters and applicable regulations.
• Assist with legal documentation and due diligence for financings and M&A transactions.
• Maintain records related to shareholder meetings and voting procedures.
• Assist with the formation and qualification of new business entities in various jurisdictions.
• Draft and revise corporate documents such as resolutions, bylaws amendments, and operating agreements.

Compensation and Benefits

Full‑time, non‑exempt, hybrid position. Annualized base salary range: $75,000 – $180,000. Compensation is based on job‑related capabilities, experience, and location.
