Role Overview:
The firm is seeking an experienced Corporate Paralegal with a strong background in corporate law, excellent project management skills, and meticulous attention to detail. The candidate will work in a fast-paced, remote environment, collaborating across teams to deliver high-quality work.
Key Duties and Responsibilities:
- Prepare and file Trademark/Copyright assignment agreements with the USPTO.
- Prepare and file UCC financing statements.
- Draft corporate documents (resolutions, written consents, LLC agreements, bylaws, etc.).
- Manage entity formations (LLCs, corporations, EIN acquisition, etc.).
- Perform general paralegal and office administration tasks.
- Support client billing processes and special projects as needed.
Requirements:
- Paralegal certificate and/or Bachelor's degree from an accredited institution.
- 3+ years of corporate paralegal experience (law firm or in-house).
- Registered notary public or willingness to obtain (including remote online notarization).
- Familiarity with US securities filings (Form ID, Form D, Blue Sky filings).
- Strong organizational, communication, and proofreading skills.
- Ability to work independently, manage multiple projects, and meet deadlines.
- Proficiency in Microsoft Office Suite, Clio, NetDocuments, Adobe PDF, DocuSign, and Litera Workshare Compare.
- Action-oriented, collaborative, and responsive with excellent interpersonal skills.
