Job summary

BakerHostetler in Atlanta seeks a Corporate/M&A Paralegal with 5+ years of corporate/paralegal experience to support corporate, healthcare, and real estate attorneys. You will manage entity formations, filings, due diligence, document preparation, and closing coordination in a high-volume practice.

The ideal candidate holds a Bachelor's degree or Paralegal Certificate and demonstrates excellent grammar, organization, and communication skills to serve clients and the firm effectively.

Qualifications

• Bachelor’s degree or Paralegal Certificate required.
• 5+ years corporate/business paralegal experience preferred.
• Experience supporting transactional and finance matters required.
• Strong written and verbal communication skills; ability to prioritize and manage multiple deadlines.

Responsibilities

• Handles all aspects of formation of entities, including preparing articles of incorporation/organization, bylaws, operating agreements, and related documents.
• Coordinates filing of corporate documents with governmental agencies.
• Assists with drafting contracts, stock/asset purchase agreements, and closing documents for M&A.
• Maintains corporate record books and handles incorporation proceedings, mergers, and dissolution documents.
• Manages annual board/shareholder resolutions and filing of annual reports; performs due diligence searches.
• Interacts with attorneys, clients, and outside parties regularly on various matters.
• Coordinates closings, including closing checklists, memoranda, and binders; ensures document delivery and execution.
