Alpheva is seeking experienced deal counsel to evaluate AI-assisted legal analyses across acquisitions, financings, and governance matters. You will spot issues, review drafting, and assess defined terms, closing conditions, and risk allocation from a deal-counsel perspective.

Remote, project-based contract work with hours and scope matching project demand. Strong transactional judgment balancing legal protection with commercial objectives is essential.

Qualifications

• Active US bar membership (bar in good standing).
• 6+ years practicing corporate or transactional law.
• Experience with M&A, venture financing, private equity, or public-company governance.

Responsibilities

• Evaluate advanced domain tasks and AI-generated responses for factual accuracy and professional judgment.
• Apply current standards, methods, and risk considerations from law & legal services.
• Document errors, edge cases, and the reasoning behind an ideal response.
• Collaborate asynchronously with Alpheva's research and evaluation teams.

Review issue spotting, drafting choices, defined terms, closing conditions, and risk allocation from the perspective of experienced deal counsel.

Identify legal conclusions that depend on missing facts, jurisdiction-specific authority, or negotiated market terms.

Provide precise corrections and explain how strong transactional judgment balances legal protection with commercial objectives.

Remote, project-based contract work. Scope and hours depend on project matching; the listed hourly range applies to matched work.
