Job summary

McDermott Will & Schulte is seeking an associate to take ownership of M&A transaction workstreams from deal inception through closing. You will draft, review, and negotiate principal transaction documents (e.g., acquisition agreements, equity documents, ancillary papers) and coordinate due diligence with cross‑functional teams.

• Taking ownership of M&A transaction workstreams from deal inception through closing.
• Drafting, reviewing, and negotiating principal transaction documents (e.g., acquisition agreements, equity documents, ancillary documents).
• Manage and execute due diligence, identifying and escalating issues, translating findings into transaction documents and deal planning.
• Provide post-closing support and drive deal execution and closings under aggressive timelines.
• Collaboration with finance, tax, benefits, real estate, IP, litigation, and other specialists; manage cross-functional workflows.
• Interact directly with clients and internal deal teams; run substantial components of transactions.
• Preferred experience includes advising strategic buyers/sellers in complex, fast-moving transactions with multiple stakeholders.
