Qualifications

• Active state bar membership.
• 5–10 years of relevant legal experience.
• Experience with government contracting and federal compliance.
• Experience in multi-entity corporate environments.
• Experience performing M&A due diligence.

Responsibilities

• Draft and negotiate a wide range of commercial contracts.
• Support corporate governance activities, including resolutions, minutes, and entity maintenance.
• Prepare and review LLC agreements, shareholder agreements, and manage subsidiary structures.
• Conduct M&A due diligence and provide transaction support.
• Advise on ANC and SBA 8(a) regulatory matters.
• Draft and review employment agreements and assist with personnel-related legal matters.
• Oversee real estate transactions, including purchases, leases, and financing documents.
• Manage litigation and claims, coordinating with outside counsel.
• Identify legal risks and communicate them in practical business terms.
• Partner with executives, finance teams, and operating-company managers.
• Prioritize and manage multiple legal matters across subsidiaries.

The ideal candidate will bring strong judgment, the ability to translate legal concepts into practical business guidance, and experience working in fast‑moving, multi‑entity environment. This position is located in Anchorage, Alaska.

• Support corporate governance activities, including resolutions, minutes, and general entity maintenance.
