Job summary

Three Saints Bay, LLC, based in Anchorage, Alaska, seeks an experienced Corporate Legal Counsel to support a multi-subsidiary portfolio. You will translate complex legal concepts into practical business guidance and operate in a fast-moving, multi-entity environment.

Responsibilities include drafting and negotiating commercial contracts, governing entity maintenance, M&A due diligence, government contracting compliance, employment agreements, real estate, and risk communication with executives

Qualifications

• Active state bar membership is required.
• Approximately 5-10 years of relevant legal experience.
• Law firm corporate experience, in-house experience, or a combination of both.
• Demonstrated business-oriented judgment.
• Experience with government contracting and federal compliance requirements.

Responsibilities

• Draft and negotiate a wide range of commercial contracts.
• Support corporate governance activities, including resolutions, minutes, and entity maintenance.
• Prepare and review LLC agreements, shareholder agreements, and manage subsidiary structures.
• Conduct M&A due diligence and provide transaction support.
• Advise on ANC and SBA 8(a) regulatory matters.
• Draft and review employment agreements, support employment policies, and assist with personnel-related legal matters.
• Oversee real estate transactions, including purchases, leases, and financing documents.
• Manage litigation and claims, including coordination with outside counsel.
• Identify legal risks and clearly communicate them in practical, actionable business terms.
• Partner effectively with executives, finance teams, and operating-company managers.
• Prioritize and manage multiple legal matters across various subsidiaries.
