Qualifications

• Minimum 3 years in the legal department of a U.S.-based manufacturing or technology company.
• Native English speaker; Mandarin is a plus.
• Bar membership in a U.S. state is strongly preferred.
• Ability to balance legal risk with commercial objectives and provide practical, solution-oriented advice.
• Experience collaborating with cross-functional teams across time zones and cultures.

Responsibilities

• Contract Lifecycle Management: review and negotiate commercial agreements; ensure compliance with laws and policies; identify and mitigate risks.
• U.S. Market Compliance & Risk Advisory: oversee legality of activities in the U.S. and implement compliant solutions.
• Internal Legal Support & Training: provide day-to-day legal consultations and training to stakeholders.
• Litigation & Dispute Management: manage U.S.-based disputes and coordinate with external counsel.
• Corporate Governance & Entity Maintenance: oversee annual compliance for the U.S. entity; filings and reporting.
• Cross-Border Legal Support: assist operations in other jurisdictions as needed.

We’re looking for a pragmatic, business-savvy Legal Counsel to take full ownership of our U.S. legal function. In this standalone role, you won’t just advise – you’ll build and scale our compliance framework, shape risk strategy, and become the go‑to legal partner for our U.S. business team. Key Responsibilities

• Contract Lifecycle Management – Review and negotiate a wide range of commercial agreements with clients and counterparties; ensure all terms are fully compliant with applicable laws and company policies; proactively identify and mitigate legal risks throughout contract execution and performance.
• U.S. Market Compliance & Risk Advisory – Oversee the legality of all business activities in the U.S., conducting thorough risk assessments in areas including but not limited to insurance, export controls, data privacy, trade sanctions, and employment laws. Operationalize effective compliance solutions that align with operational realities.
• Internal Legal Support & Training – Provide day-to-day legal consultations and training to internal stakeholders.
• Litigation & Dispute Management – Manage and resolve local U.S.-based legal disputes, claims, and litigation to safeguard the company's legitimate interests. Supervise and coordinate with external counsel to ensure high-quality representation and strategic alignment.
• Corporate Governance & Entity Maintenance – Oversee the annual compliance upkeep of the U.S. legal entity, including filings, registrations, and reporting obligations, ensuring good standing and adherence to all applicable corporate formalities.
• Cross-Border Legal Support – Collaborate with the Overseas Business Division to provide legal assistance for operations in other international jurisdictions, as needed, contributing to a cohesive global legal strategy.
• Complete other duties as assigned by direct supervisor.

Qualifications

• Professional Experience – Minimum of 3 years of experience in the legal department of a U.S.-based manufacturing or technology company.
• Language Skills – Native English speaker; Mandarin is a plus.
• Business Orientation – Demonstrated ability to assess and balance legal risks against commercial objectives, with a track record of delivering practical, solution-oriented advice that supports business growth while maintaining compliance.
• Communication & Collaboration – Exceptional communication, negotiation, and collaboration capabilities. Proven success working with cross-functional teams across different time zones and cultural contexts is highly desirable.
• Professional Qualification – Active membership in the bar of any U.S. state is strongly preferred.
