Qualifications

• 3–6 years of sophisticated corporate transactional experience.
• Significant experience with mergers and acquisitions and private equity transactions.
• Experience representing private equity sponsors, portfolio companies, strategic buyers, sellers, and other corporate clients.
• Experience with leveraged buyouts, add-on acquisitions, dispositions, strategic investments, joint ventures, and other complex transactions.
• Experience drafting and negotiating purchase agreements, merger agreements, operating agreements, shareholder agreements, and ancillary transaction documents.
• Experience conducting and managing legal due diligence and coordinating complex transaction closings.
• Ability to manage multiple sophisticated transactions in a fast-paced environment.
• Strong drafting, negotiation, analytical, and problem-solving skills.
• Excellent client service and communication skills.
• Strong academic credentials.
• J.D. from ABA-accredited law school required.
• Texas bar admission required or ability to become admitted.

Responsibilities

• Represent clients in sophisticated M&A and private equity transactions.
• Coordinate due diligence and manage complex deal closings.
• Draft and negotiate purchase, merger, operating, and shareholder agreements.
• Advise private equity sponsors, portfolio companies, and strategic buyers/sellers on deal structures.
