Qualifications

• 4+ years of experience in corporate governance or legal entity management.
• Strong knowledge of U.S. corporate governance and compliance.
• Experience with corporate filings and minute books.

Responsibilities

• Draft secretary certificates and governance documents.
• Maintain digital minute books for entities.
• Coordinate governance matters with outside counsel.
• Prepare annual reports and statutory filings.
• Track compliance deadlines across many entities.
• Manage corporate data in the entity database.
• Oversee vendor invoicing and expenses.
• Collaborate with Legal, Tax, Finance on governance.
