We are seeking a Corporate Associate – Finance with approximately 3–6 years of experience to join a sophisticated corporate finance practice. The ideal candidate will have experience representing financial institutions, private credit lenders, borrowers, or other participants in finance transactions, with particular exposure to loan originations and real estate financings.
Key Responsibilities:
- Represent lenders, borrowers, financial institutions, and other clients in a variety of corporate finance transactions.
- Draft, review, and negotiate loan and credit agreements, security agreements, intercreditor agreements, guarantees, and related financing documents.
- Handle secured and unsecured lending transactions, including loan originations and real estate financing matters.
- Advise clients regarding financial covenants, covenant compliance, defaults, and other financing-related issues.
- Conduct and coordinate legal due diligence in connection with financing transactions.
- Lead due diligence teams and coordinate attorneys and specialists across multiple practice areas.
- Manage transaction timelines and workstreams from initial structuring through closing.
- Work directly with clients and other transaction participants to resolve legal and business issues.
- Draft legal memoranda, transaction documents, correspondence, and other written materials.
- Manage multiple transactions and assignments while maintaining high-quality work and meeting deadlines.
Qualifications:
- 3–6 years of relevant corporate finance, banking and finance, or financial services legal experience. Experience representing lenders, borrowers, financial institutions, private credit funds, or other financing participants.
- Demonstrated experience with loan originations and/or real estate financing.
- Strong drafting and negotiation experience involving:
- -Loan/Credit Agreements
- - Security Agreements
- -Intercreditor Agreements
- -Other Finance Transaction Documents
- Experience conducting or leading legal due diligence.
- Ability to coordinate and manage specialists and other members of transaction teams.
- Strong understanding of financing transactions and related legal and commercial considerations.
- Excellent written and oral communication skills.
- Strong academic credentials.
- Ability to manage multiple assignments with minimal supervision. J.D. from an accredited law school and admission to the applicable state bar.
