Job summary

American Guardian Warranty Services (AGWS), an affiliate of Reynolds and Reynolds, seeks a Corporate Counsel to support commercial contracts, employment law, product documentation, and corporate governance. The role offers broad exposure and interaction with company leadership in a small, fast-paced legal team.

Responsibilities include drafting and negotiating dealer and vendor agreements, NDAs, and consumer forms, plus governance activities and HR policy support across multiple states.

Qualifications

• Juris Doctor from an ABA-accredited law school.
• Licensed attorney in Illinois or eligible for Illinois in-house counsel admission.
• Two or more years of relevant experience with substantive commercial contract drafting and negotiation.
• Knowledge of employment law matters; in-house or law-firm experience preferred.
• Strong legal writing, contract review, and risk assessment skills.

Responsibilities

• Draft, review, negotiate, and maintain dealer, agent, and producer agreements and program documentation.
• Handle vendor, technology, services, and licensing agreements with data protection terms.
• Prepare and process NDAs and confidentiality agreements.
• Review marketing, co-branding, and promotional agreements and materials.
• Support corporate governance, board materials, and subsidiary records.
