Job summary

Townsend Company LLC is seeking a Corporate Counsel - Transactional to lead strategic deals and day-to-day legal matters for a growing multi-state field-services organization. You will own the due diligence, purchase agreements, and post-closing integration, partnering with HR, Finance, Safety, and Operations to provide practical, business-minded guidance across the enterprise.

Qualifications

• J.D. from an accredited law school and active good standing in at least one U.S. jurisdiction.
• 7+ years of legal practice with substantive transactional experience.
• Experience in utility and line services, vegetation management, telecommunications, or related industries.
• Demonstrated M&A experience, including diligence and drafting on completed transactions.
• Strong commercial contracting experience, particularly negotiating customer-side agreements.
• Sound judgment and the ability to translate complex legal issues into business guidance.
• Comfort working without a large support structure and making decisions with incomplete information.
• Experience supporting integrations after closing.

Responsibilities

• Support acquisitions from letter of intent through closing and integration, including asset and stock transactions.
• Coordinate legal due diligence, focusing on employment, contract, licensing, environmental, and successor liability exposure.
• Draft and negotiate purchase agreements, disclosure schedules, transition services agreements, and related documents.
• Partner with HR, Finance, Safety, and Operations to identify integration issues before closing.
• Manage post-closing obligations, escrows, earnouts, and indemnification claims.
• Own the contract lifecycle—drafting, reviewing, negotiating, and administering the agreements the business runs on.
• Negotiate master service agreements and work orders with utility, municipal, cooperative, and government customers.
• Handle subcontractor agreements, leases, NDAs, site access, and other vendor contracts.
• Advise on bid terms, bonding, prevailing wage and Davis-Bacon requirements, and public procurement conditions.
• Serve as day-to-day counsel to Operations, HR, Safety, and Finance on legal questions.
• Advise on employment matters with HR, wage/hour, classification, leave, covenants, and separations.
• Support risk and claims management, including insurance coverage and incident response.
• Advise on regulatory matters affecting field operations (DOT, OSHA, environmental, licensing).
• Maintain corporate governance and entity records across a multi-entity structure.
