Job summary

GS2 is seeking a Corporate Counsel to lead high-value transactional work across energy infrastructure and real estate, partnering with senior legal leadership on M&A and strategic growth. You will negotiate complex contracts, oversee site development, and drive project delivery while advising cross-functional teams.

Ideal candidates bring 3–5+ years post-qualification experience, preferably with an Am Law 100/200 background, and a track record in energy, real estate, or corporate acquisitions

Qualifications

• 3–5+ years of post-qualification transactional experience.
• Experience leading deal execution in energy infrastructure, commercial real estate, or corporate M&A.
• Foundational training as an associate at an Am Law 100/200 law firm.

Responsibilities

• Infrastructure, energy, and commercial development transactions: negotiate and structure complex contracts, land acquisitions, ground leases, and site development agreements.
• Corporate M&A, joint ventures, and asset dispositions: support end-to-end deal execution, due diligence, and post-closing integration with the GC.
• Business advisory: act as embedded legal partner to executives, development and engineering teams to streamline delivery and assess commercial risk.

About the Role

GS2 have partnered with a fast-growing global data center and energy infrastructure platform. We are seeking a business minded Corporate Counsel to join the legal team.

In this role, you will lead high value operational infrastructure deals, real estate site development, and commercial power procurement, while partnering directly with senior legal leadership on corporate M&A and strategic growth initiatives.

Key Responsibilities

• Infrastructure & Commercial Development: Negotiate and structure complex operational transactions, including power supply contracts, commercial land acquisitions, ground leases, site control agreements, and project development contracts.
• Corporate M&A & JVs: Support end to end deal execution, due diligence, and post closing integration for corporate acquisitions, joint ventures, and asset dispositions alongside the General Counsel.
• Business Advisory: Serve as an embedded legal partner to executive, development, and engineering teams to streamline project delivery and evaluate commercial risk.

Mandatory Qualifications (Strictly Required)

• Training: Minimum 3–5+ years of post-qualification transactional experience, including foundational training as an associate at an Am Law 100/200 law firm.
• Domain Focus: Demonstrated experience leading deal execution in at least one of the following areas:
• Energy infrastructure, utility-scale power projects, or project finance.
• Commercial real estate development, ground leasing, and land acquisition.
• Strategic corporate M&A, joint ventures, and private equity transactions.
