The Corporate Counsel reviews, drafts, and negotiates commercial contracts. Advises the business on legal risks and provides analysis regarding contractual and commercial matters. Ensures compliance with internal policies and legal requirements. Reviews advertising and marketing materials to ensure compliance with global legal requirements.

What we’re looking for:

  • Education: JD from a top law school; State bar admission required.
  • Experience: Minimum 7 years relevant experience, preferably at a law firm and/or in-house legal contracts experience.
    • 3-5 years corporate transaction experience, with particular emphasis on reviewing, drafting, and negotiating a wide variety of commercial agreements, including procurements, sales, vendor, service, distribution and consignment agreements.
    • Experience providing timely advice and counsel to high performance commercial and procurement teams.
    • Familiarity with advertising law and reviewing marketing materials.
    • Experience building efficient contract lifecycle management processes preferred.

How you will thrive and create an impact:

  • Reviews, drafts, and negotiates various types of contracts and RFPs with aggregate annual revenue of greater than $500M.
  • Leads and manages legal aspects of contract negotiations with high value, high profile, and/or highly complex suppliers, customers, and vendors.
  • Provides advice and assistance regarding legal interpretations and analysis of the business risk of contracts and serves as subject matter expert on contracting issues.
  • This is a matrix leader role that will work closely with and provide guidance to the company's contracts administration team throughout the contracting process and ensures compliance with internal policies.
  • Reviews, drafts, and identifies the need for corporate compliance policies.
  • Develops, drafts, and reviews contract templates for the company and its acquisitions; consolidates and leverages global contract requirements.
  • Leads training initiatives for the company’s contracts administration team.
  • Reviews marketing materials for compliance with legal requirements.
  • Perform other duties as assigned.
