Job summary

FormFactor is seeking a Corporate Counsel to join our legal team to support the review, drafting, and negotiation of a broad range of commercial agreements. This role will also advise on routine contracting matters and collaborate with senior team members on strategic transactions.

The successful candidate will work with sales, procurement, supply chain, finance, IT, and engineering to facilitate business transactions while helping manage legal and business risk in Livermore, California.

Qualifications

J.D. from an ABA-accredited law school.
Active state bar membership in good standing (US).
2–3 years of law firm experience (AmLaw 50 or equivalent preferred).
Ethics: high standards of confidentiality and discretion.
Growth mindset, curiosity, and ability to learn business context.

Responsibilities

Draft, review, and negotiate a wide range of commercial agreements.
Partner with business teams on contract terms, risk allocation, and negotiation strategy.
Identify and implement process improvements across legal workflows, templates, and automation.
Monitor regulatory developments affecting commercial contracting in semiconductors.
Advise on data privacy and DPAs with GDPR/CCPA considerations.
Support SEC reporting and public company compliance.
Assist with corporate governance, entity management, and subsidiary maintenance.
Provide legal guidance to People Team on day-to-day employment matters.
Manage pre-litigation matters and coordinate with outside counsel on litigation.
Support Code of Conduct, anti-corruption, conflicts of interest policies, and employee training.
Contribute to corporate development and M&A due diligence.
