Position Overview:

This role reports to the Head of the Legal Department and serves as a senior member of Eliquent's Legal Team. The primary responsibility is to support the business through the review, drafting, and negotiation of commercial agreements with clients, independent contractors, vendors, and strategic partners. In addition, the Corporate Counsel provides practical legal guidance across a broad range of matters, serving as a trusted advisor and key point of contact for internal stakeholders on legal, regulatory, compliance, data privacy, and risk-related issues.

The Corporate Counsel will identify and analyze complex legal issues, prepare and negotiate critical legal documents, deliver clear and actionable recommendations, and help ensure compliance with applicable laws, regulations, and corporate policies. This role requires a seasoned attorney with deep expertise in life sciences, regulatory compliance, and commercial transactions. The successful candidate will partner closely with executive leadership and cross-functional teams to support strategic initiatives, mitigate business risk, and align legal strategies with organizational objectives.

As a senior legal leader, this position will contribute to the direction and growth of the Legal Department by providing guidance on high-impact business matters, supporting organizational expansion, and fostering a culture of compliance and sound decision-making. The role will also conduct research and analysis on a variety of legal and regulatory issues as needed to support business operations and enterprise-wide initiatives.

Primary Responsibilities:

• Draft, review, and negotiate a variety of complex commercial contracts and vendor agreements on behalf of Eliquent, including confidentiality and non-disclosure agreements, consulting agreements, master services agreements, data privacy agreements, and other contracts, amendments, and related documents.
• Research and advise on a wide variety of legal and corporate issues.
• Support cross-functional needs related to corporate governance, data privacy, cybersecurity, and regulatory compliance.
• Manage litigation holds and responses to subpoenas.
• Support ELIQUENT's mission, ethics, and integrity in all legal and compliance matters.
• Develop, implement, and maintain legal frameworks, contract templates, policies, and training programs to improve scalability, consistency, and risk management across the organization.
• Manage relationships with external counsel and other legal service providers, including oversight of budgets and legal resources, as appropriate.
• Monitor changes in applicable laws, regulations, and industry requirements affecting the life sciences sector and advise the business on associated risks and compliance obligations.
• Identify, assess, and mitigate legal and regulatory risks while balancing business objectives and operational needs.

Qualifications:

• J.D. from an accredited law school and an active license to practice law.
• 5-7 years of experience negotiating commercial transactions and agreements, including law firm and/or in-house experience.
• Experience in at least two of the following areas: data privacy, corporate law, and employment law.
• Strong analytical skills, attention to detail, and a thorough approach.
• Practical, business-oriented approach to problem-solving, with the ability to offer creative solutions.
• Ability to manage multiple priorities and client demands in a fast-paced, evolving environment.

The anticipated base salary range for this position is $165,000 to $175,000 annually, in accordance with applicable pay transparency requirements. This range reflects what Eliquent reasonably expects to pay for this role. Actual compensation will be determined based on factors including, but not limited to, the candidate’s experience, skills, qualifications, and alignment with internal equity. In addition to base salary, Eliquent may provide additional forms of compensation where applicable.
