  • Familiarity with the drug development process.
  • Strong business acumen; ability to balance legal advice with business needs.
  • Excellent multitasking, problem-solving, and communication skills.
  • Sense of urgency.

Responsibilities

  • Draft, review, and negotiate confidentiality agreements, master service agreements, quality agreements, consulting agreements, clinical trial agreements, research collaboration agreements, and vendor service agreements.
  • Develop and maintain contract templates, playbooks, and standardized workflows to mitigate risk and increase efficiency across the organization.
  • Support key business stakeholders including clinical operations, CMC, R&D and finance on contracting matters, with guidance from the Senior Director, Corporate Counsel.
  • Assist in the development, maintenance, and training of processes and procedures internally to standardize work flow and manage risk.
  • Complete special projects and collaborate on department‑wide or company‑wide initiatives, as requested.
  • Coordinate with external legal partners as directed to support cost‑effective, high‑quality specialized engagements.

Job description

We are looking to add a key member to our growing legal team. This is a hands‑on transactional role in a small‑company environment, designed for a motivated and pragmatic attorney with strong drafting and negotiation skills and the ability to manage multiple workstreams.

The Corporate Counsel will support the contracts function by drafting, reviewing, and negotiating a range of clinical, commercial and research‑related agreements. This role will report to our Senior Director, Corporate Counsel and collaborate cross‑functionally.

Responsibilities
  • Draft, review, and negotiate various agreements including confidentiality agreements, master service agreements, quality agreements, consulting agreements, clinical trial agreements, research collaboration agreements, and vendor service agreements.
  • Contribute to the development and maintenance of contract templates, playbooks, and standardized workflows to mitigate risk and increase efficiency across the organization.
  • Support key business stakeholders including clinical operations, CMC, R&D and finance on contracting matters, with guidance from the Senior Director, Corporate Counsel.

Required Qualifications
  • JD degree.
  • Active membership in good standing with a State Bar.
  • 4‑6 years of experience drafting, negotiating, and executing contracts in the biopharmaceutical or life sciences industry.
  • Experience in both a law firm and an in‑house legal department, with a strong transactional background in drafting, negotiating, and executing contracts.
  • Familiarity with the drug development process.
  • Strong business acumen; ability to integrate legal advice with practical business considerations and sound judgment.
  • Demonstrated ability to multi‑task, problem‑solve and operate in a fast‑paced environment with competing and often shifting priorities.
  • Outstanding organizational, written and verbal communication skills, as well as strong attention to detail.
  • Sense of urgency.
Preferred Qualifications
  • Familiarity with data privacy frameworks relevant to the life sciences industry, including HIPAA and GDPR.
  • Familiarity with US securities laws.
  • Experience with contract lifecycle management (CLM) platforms.
  • Exposure to IP licensing, technology transfer, and material transfer agreements.
  • Ability to work independently and exercise sound judgment with minimal oversight.

Base Salary Range: $225K-$262K.
