Job summary

Jobtailor is seeking a licensed Capital Markets attorney with 4+ years of experience to support complex transactions, including securitizations and credit facilities. You will review and negotiate key documents for new and existing clients, while guiding risk and business objectives.

The role requires strong interpersonal skills, cross-team collaboration, and the ability to manage multiple closing and debt sale efforts in a fast-paced environment.

Qualifications

• J.D. degree from an accredited law school.
• Active state bar in good standing.
• 4+ years of law firm and/or in-house capital markets experience.
• Experience leading transactional negotiations.
• Strong interpersonal and cross-team collaboration.
• Ability to balance legal risk with business objectives.

Responsibilities

• Provide creative legal solutions for complex Capital Markets transactions, including credit facilities and securitizations.
• Review and negotiate transaction documents for new clients, including unsecured consumer loan agreements.
• Advise on NDAs, engagement letters, and transaction agreements.
• Review and negotiate contracts for existing clients, including multi-party agreements with leverage providers and asset transfer agreements.
• Coordinate closings and manage investor relationships across investor agreements.
• Support debt sale transactions and related documentation.
• Advise on strategic, operational, and marketing matters related to Capital Markets.
• Partner with the Capital Markets team and report to the Assistant General Counsel.

Job description

• Provide creative legal solutions for complex Capital Markets transactions, including credit facilities and securitizations
• Review and negotiate transaction documents for new clients, including agreements for the sale and servicing of unsecured consumer loans
• Advise Capital Markets on non-disclosure agreements, engagement letters, and transaction agreements
• Review and negotiate contracts for existing clients, including multi-party agreements with leverage providers, account control agreements, asset transfer agreements, and backup servicing agreements
• Provide ongoing guidance and support to the Capital Markets team on existing agreements and client communications
• Track and manage investor relationships, including monitoring contract details, obligations, and requirements across investor agreements
• Coordinate and execute closings of large transactions
• Support Collections and Recoveries teams with debt sale transactions, including negotiating, drafting, and managing debt sale agreements and related documentation
• Manage and negotiate contracts and ongoing commercial relationships with bank partners
• Advise on strategic, operational, and marketing matters related to Capital Markets
• Support the legal team on other commercial agreements as needed
• Partner with the Capital Markets team and advise business and management on relevant legal issues
• Report to the Assistant General Counsel

Requirements

• 4+ years of law firm and/or in-house experience with increasing responsibility
• Experience in capital markets and structured finance
• Experience leading transactional negotiations
• Strong interpersonal skills with the ability to collaborate effectively across teams and stakeholders in a fast-paced environment
• Strong judgment and the ability to balance legal risk with practical business objectives
• Demonstrated ability to take ownership and resolve issues with minimal supervision
• Attention to detail, excellent organizational skills, and strong work ethic
• Ability to manage multiple projects concurrently in an evolving environment
• Effective and persuasive written and oral communication skills
• J.D. degree
• Active membership in good standing with a state bar
