Simulation95 seeks an in-house legal partner to structure entities, negotiate technology and commercial agreements, and manage data rights for AI/ML initiatives. You will lead governance, IP, and privacy strategies across jurisdictions.

The role requires a law degree, active bar membership, and hands-on experience drafting contracts, negotiating with partners, and ensuring HIPAA/GDPR compliance within dynamic AI projects.

Responsabilidades

• Advise on entity formation, ownership structures, subsidiaries, partnerships, governance, and financing; maintain corporate records and coordinate tax and local counsel.
• Negotiate customer, vendor, employment, contractor, and partnership agreements, statements of work, and licenses; address IP ownership, assignments, confidentiality, and approval processes.
• Establish data provenance and permissions for AI workflows, including rights in models and outputs.
• Assess HIPAA, GDPR, and other privacy obligations; determine party roles, and negotiate BAAs/DPAs.
• Advise on international data access, cross-border transfers, localization, and transfer mechanisms.
• Translate privacy obligations into consent or lawful grounds requirements; support regulatory inquiries.

About the role

You will be Simulation95's in-house legal partner for business structuring, contracting, and data use in AI and machine learning. You will structure companies and partnerships, negotiate agreements, and establish clear rights for data and technology. This hands-on role requires AI/ML data-rights experience, privacy expertise, and practical knowledge of intellectual property and international data matters.

Responsibilities

• Advise on entity formation, ownership structures, subsidiaries, partnerships, governance, and financing; maintain corporate records and coordinate tax and local counsel.
• Negotiate customer, vendor, employment, contractor, and partnership agreements, statements of work, and licenses; address IP ownership, assignments, confidentiality, and approval processes.
• Establish data provenance and permissions for collection, access, sharing, training, fine-tuning, evaluation, retrieval, inference, and AI-agent workflows, including rights in models and outputs.
• Assess applicable HIPAA, GDPR, and other privacy obligations; determine party roles, address individual rights, and negotiate business associate and data processing agreements where required.
• Advise on international data access, cross-border transfers, onward sharing, localization, and appropriate transfer mechanisms with counsel in relevant jurisdictions.
• Translate privacy obligations into requirements for consent or other lawful grounds, de-identification, retention, deletion, subprocessors, and incident response; support regulatory inquiries.

Qualifications

• Law degree, active bar membership in good standing, and eligibility to serve as in-house counsel in the role's jurisdiction.
• Strong business structuring and governance experience, with independent responsibility for negotiating technology and commercial contracts.
• Practical experience advising AI/ML teams on data sourcing, licensing, training permissions, model use, and AI-agent access.
• Experience applying HIPAA and GDPR, including privacy contracting, controller and processor responsibilities, and international data transfers.
• Working knowledge of IP ownership, assignments, copyright, trade secrets, and software licensing; judgment about when to engage specialist counsel.
• Ability to understand technical data flows, explain risks clearly, and propose workable terms while maintaining independence and confidentiality.

Preferred experience

• In-house AI or technology experience, or experience advising startups on structuring, financing, and enterprise contracting.
• Healthcare or research datasets, international data partnerships, open-source licensing, and coordination of advisers across jurisdictions.
