Job summary

The candidate will provide legal advice on corporate matters, draft and negotiate key agreements, advise on governance, and oversee due diligence in a fast-paced environment. Requirements include a JD, 5+ years in corporate law, IL bar admission, excellent drafting/negotiation, and strong communication.

Job Details

Responsibilities:

• 1. Provide legal advice and support on a wide range of corporate legal matters.
• 2. Draft, review, and negotiate a wide variety of corporate documents such as merger and acquisition agreements, partnership agreements, stock purchase agreements, and other related documents.
• 3. Advise on corporate governance matters, including the drafting and review of corporate resolutions, board and committee charters, and policies.
• 4. Provide legal counsel on a broad range of corporate matters such as corporate structure, legal rights, obligations, and privileges.
• 5. Assist with the preparation and filing of all required legal documents with appropriate entities.
• 6. Oversee due diligence processes and provide advice on risk management and mitigation.
• 7. Collaborate with other departments to ensure legal compliance across the organization.
• 8. Develop and maintain an understanding of the business and its needs, and stay updated on relevant laws and regulations.

Qualifications:

• 1. Juris Doctor (JD) degree from an accredited law school.
• 2. A minimum of 5 years of experience in corporate law
• 3. Admission to the IL state bar.
• 4. Excellent legal drafting skills and strong negotiation abilities.
• 5. Proven experience in managing multiple, complex matters in a fast-paced environment.
