A nationally recognized law firm with a strong East Coast presence is seeking a Corporate Associate to join its Private Equity & Finance team. This role is suited for an attorney with 3–5 years of experience in investment management, private fund formation, and corporate transactional matters. Location:
Duties:
- Advise clients on structuring and formation of open- and closed-end private investment funds.
- Draft and review sophisticated fund-related legal documents, including limited partnership agreements, LLC operating agreements, and subscription agreements.
- Prepare and negotiate investment management and sub-advisory agreements.
- Provide counsel on investment manager marketing materials and fund disclosures.
- Represent institutional investors and family offices in private equity and venture capital transactions.
- Participate in strategic joint venture structuring, M&A, and general corporate matters.
Requirements:
- 3–5 years of demonstrated experience in investment management and private fund formation.
- Prior experience with institutional investors or family offices preferred.
- Strong attention to detail and ability to manage complex transactional documents.
- Excellent communication skills and a commitment to high-quality client service.
- Ability to collaborate effectively in a team setting while maintaining independent judgment.
- Active bar membership in good standing in the relevant jurisdiction.
Education:
- Juris Doctor (J.D.) from an accredited U.S. law school.
Certifications:
- Admission to the bar in the jurisdiction where the candidate intends to practice.
Skills:
- Proficiency in drafting and negotiating fund-related and corporate agreements.
- Familiarity with SEC and investment adviser regulations.
- Strong legal research, analytical, and writing skills.
- Capable of managing multiple matters and deadlines simultaneously.
- Business acumen with the ability to understand client goals and provide practical solutions.
