Location:
Hartford, CT
Duties:
- Provide counsel on investment management regulatory matters
- Advise on formation and structuring of open- and closed-end private investment funds
- Represent institutional investors and family offices in private equity and venture capital transactions
- Draft and negotiate key legal documents, including:
- Investment management and sub-advisory agreements
- Limited liability company (LLC) operating agreements
- Limited partnership agreements
- Subscription agreements
- Review and advise on investment manager marketing materials
- Support mergers and acquisitions, strategic joint ventures, and general corporate matters
Requirements:
- 3–5 years of relevant experience in investment management and private fund formation
- Demonstrated expertise in transactional and regulatory legal work
- Strong communication and client service skills
- Ability to work independently and collaboratively in a team-based environment
- Strong problem-solving skills and attention to detail
- Bar admission in good standing in the state of practice
Education:
- Juris Doctor (J.D.) degree from an accredited law school
Certifications:
- Licensed to practice law and in good standing in the applicable jurisdiction
Skills:
- Proficiency in drafting sophisticated investment and fund-related legal documents
- In-depth understanding of investment adviser compliance obligations
- Experience with private equity, venture capital, and joint venture transactions
- Ability to manage multiple projects and deadlines efficiently
- Familiarity with advising institutional investors and family offices preferred
