Job Overview:
On behalf of a leading East Coast law firm, applications are invited for the role of Corporate Associate within the Private Equity & Finance practice group. The ideal candidate will bring 3–5 years of relevant experience in investment management and private fund formation. This is an opportunity to join a dynamic legal team involved in complex transactions and regulatory advisory for prominent clients, including family offices and institutional investors. The position offers flexibility in location and includes a hybrid work model.
Location:
Stamford, CT
Duties:
Draft and negotiate investment management and fund formation documents
Advise clients on investment adviser regulatory matters and compliance obligations
Represent institutional investors and family offices in transactional matters
Structure and document strategic joint ventures, private equity, and venture capital financings
Participate in mergers, acquisitions, and general corporate transactions
Prepare and review:
Investment management agreements
Sub-advisory agreements
LLC operating agreements and partnership agreements
Subscription agreements and side letters
Collaborate with attorneys across offices on multi-jurisdictional matters
Requirements:
3–5 years of experience in investment management and private fund formation
Proven ability to draft complex transactional documents
Strong client service and communication skills
Ability to work collaboratively within a team-focused environment
Effective independent problem-solving and project management skills
Bar admission in good standing in the state of intended practice
Education:
Juris Doctor (J.D.) from an accredited law school
